Thank you for joining the Majoto Beta Club! This document sets out the terms of use of the beta test labs (demo or test instances of the Majoto platform) that you can access through the community. Let's start with a map of what these terms contain.

Part 1 Orientation
These terms apply whenever you use Majoto's technology via the Beta Club. They set out Majoto's commitments to you, and your commitments to Majoto.
Who's who This agreement The tech
We are Majoto Lab Limited (Majoto), a UK company. Our address is 27 Old Gloucester Street, London, WC1N 3AX.
This is a contract between Majoto Lab Limited and you. Additional terms may apply to invitation-only or paid tiers, which we'll communicate clearly to you.
Majoto will give you access to its technology, via the Beta Club. It will not necessarily include the full platform functions and tempates.
This document will refer to you (the Beta Club member) as you.
Majoto may update these terms, and will tell you about the important changes.
Majoto processes your personal data in accordance with this Privacy Notice.

By using Majoto, you agree to these terms.
Majoto is undergoing constant development, so you'll see frequent changes and improvements.
TL;DR
A summary of the most important things you should know.
There are different tiers. There will be 3 types of access: (1) free-rider - for everyone in the club, containing the basic Majoto workflows and a sample of templates; (2) goofy - invitation-only free tiers where we will let select members try out the latest top-secret functions; (3) pro - paid tiers which will allow members to use the full version of Majoto for real, at a fraction of the normal cost.   
We do the tech, you do the content. You will have access to workflows and content (templates, clause libraries, design patterns) but you are responsible for any content you create and share via Majoto. Majoto does not provide legal advice or provide any guarantees regarding its templates or clause libraries.
Use Majoto sensibly. Please follow the acceptable use rules set out below. Don’t do anything silly or illegal. Respect other peoples’ rights. Don’t copy or disclose Majoto’s intellectual property.
The platform is provided 'as is'. Majoto will try to make your Majoto experience a good one. But the platform is provided on an 'as is' basis. Majoto does not provide any warranties and does not guarantee any service levels.

Part 2 How it works
This section describes the key aspects of how Majoto works, with important notices relating to your use of it.

Join the club You will start as a Free-rider :). We may invite you to be Goofy. You can subscribe to be a Pro when it's available. Your tier determines what functions and templates you have access to. Unless we agree with you otherwise, the plaform is provided for your use only. Always be mindful of the Beta Club Rules to make sure that yours and everyone's experience in the Beta Club is a happy one.
Use the templates Majoto may give you access to some of its standard templates, clauses and design patterns. Majoto templates are provided by content partners or by Majoto in the form of "as is" beta templates. Majoto does not guarantee their legal content. It’s up to you to make sure that the templates, clauses or graphics you use are suitable for your needs, if you intend to use them for real.
Start drafting! You can now create drafts from templates and take them through workflows. Majoto is a cloud solution, so you need a decent internet connection to use it. Majoto may be unavailable if there is a major error, maintenance requirement or network problem. Your documents and data will be recoverable so long as Google is up and running (that’s 99.9% of the time - see here).

Share with others Export your drafts and share them with colleagues and the other side. When you share drafts of your contract with anyone (we call them collaborators), we will process the contact details you enter to give them access to the document, to tell them that you've shared a document with them, and log their activity on the platform.
Sign and manage Complete the document and perform lifecycle workflows. You can sign documents using Majoto's native digital signature. If you use Majoto’s HelloSign account (where available), the signature record and copy of the signed agreement will be stored by HelloSign and will be available to Majoto via our HelloSign API account. Majoto will never access the document unless you request it.
Help & support If you need help, ask marco@majoto.io Majoto personnel may have access to your contact details as well as the contents and personal data inside your documents. Majoto will not use or share them in any way, other than as required to deliver services or support.
Saying goodbye You will always have access as long as the Beta Club exists and you are a member! But if you cease to be a member, you will not have access to the platform unless you subscribe. If you're using Majoto "for real" and need to have an export of your documents and data when you stop using it, tell us and we'll arrange it (within reason), but we can't guarantee that the visual design and format will remain intact outside of the platform.

Part 3 Our promises
This swimlane describes our respective promises and responsibilities in relation to your use of the platform.
Promises Exceptions
Your experience. We will do our best to make your Majoto experience fun and enjoyable. ⚠️ Majoto understands contracts deeply, but does not give legal advice or any warranties that the content of any templates are legally or commercially sound. If you are not sure, you must get legal advice (we have partners who can help you).
Rights granted. Majoto grants you a limited licence to its platform, for your own use only, within the scope set out in these terms. You are not permitted to assign or sub-licence these rights to anyone else. ⚠️ Improvements to the platform. If Majoto makes any improvements to its technology as the result of your feedback, those improvements will be owned by Majoto. You waive any moral rights in such improvements including the right to be identified as author, of integrity and the right against false attribution.
Platform availability. Majoto will aim to make the platform available 24 hours a day, seven days a week. ⚠️ Majoto does not give any promises as to availability or response times. Majoto is a new product undergoing constant development, and your template may involve some new and untested functionality, so Majoto does not warrant that it will be free of errors or bugs. Majoto templates are provided by content partners or by Majoto in the form of "as is" beta templates. Majoto does not guarantee their legal content.
No liability
Using Majoto via the Beta Club is at your own risk. It's free and it's for testing purposes. So Majoto will not be liable in the event that anything goes wrong.
Nothing in this agreement excludes or limits liability for the usual: (a) death or personal injury resulting from negligence; (b) fraud or fraudulent misrepresentation; and (c) intentional misconduct or gross negligence.

Part 4 Do's and Don'ts
Important acceptable use rules. Think of it as things you should and shouldn't do.

Provide complete and accurate account information when you sign up, and keep Majoto informed of any changes. Give anyone access to the platform who is not an authorised user (other than sharing docs with collaborators).
Keep your username and password secret, and notify Majoto immediately if you discover or suspect any unauthorised use of your account. Create more than one account per user. If you attempt to use another person's login details we may suspend all your accounts.
Use the Majoto in an appropriate way, for you own use. If you want to use Majoto for your business at scale, or would like members of your team to use Majoto as well, talk to us. (Re)sell or distribute Majoto's technology or content. Use or attempt to log in with someone else’s account, or access Majoto files which have not been shared with you.
Respect the effort Majoto has put into its product and intellectual property. Use the Majoto name and logo or any other Majoto intellectual property other than as permitted. This includes copying, reverse engineering, disassembling or decompiling any part of the platform (such as Majoto code, template designs, design patterns and workflow) and distributing or selling any derivative works.
Access Majoto via a standard web browser, nothing else. Circumvent any security features, or interfere with the normal working of Majoto. Add any software or scripts into your Majoto files.
If you break these rules...
...Majoto has the right to terminate your access to the Majoto platform immediately (in addition to any legal claim we may have against you) and to kick you out of the Beta Club. These rules continue to apply after our relationship ends.

Final words
This relationships agreement is governed by the law of England and Wales. Any disputes will be resolved by arbitration before the London Court of International Arbitration (LCIA) before one arbitrator at the place indicated by the parties. The LCIA rules are incorporated by reference.
